Found it. Here's the removal portion from a rather small foundation, i.e. endowment of about $10 million:
Section 4.3 Removal. Any officer elected or appointed by the Board of Directors may be removed by the Board of Directors whenever, in its judgment, the best interests of the Corporation would be served thereby, but such removal shall be without prejudice to the contract rights, if any, of the officers so removed. The removed officer shall receive written notice of the reason for the removal at least 15 days prior to the effective date and shall have an opportunity to be heard either orally or in writing by persons authorized to undo the removal at least 5 days prior to the effective date. A removal is appropriate if it is fair and reasonable taking into consideration all of the relevant facts and circumstances.
Written notice 15 days prior and opportunity to be heard and have the removal reversed. What I've read makes it sound like there was a big fight and they removed him that day and then this manipulation where the annual meeting was put off for one day and he was cleared from the slate for election. It's just really weird.
