Found it. Here's the removal portion from a rather small foundation, i.e. endowment of about $10 million:

The removed officer shall receive written notice of the reason for the removal at least 15 days prior to the effective date and shall have an opportunity to be heard either orally or in writing by persons authorized to undo the removal at least 5 days prior to the effective date. A removal is appropriate if it is fair and reasonable taking into consideration all of the relevant facts and circumstances.

Written notice 15 days prior and opportunity to be heard and have the removal reversed. What I've read makes it sound like there was a big fight and they removed him that day and then this manipulation where the annual meeting was put off for one day and he was cleared from the slate for election. It's just really weird.

Seems two things have been happening for several months. First, Z fighting the board on current direction of the company. The graphic designer just got back with a proposed logo for a very big conference that I am co-organizing. I like it, but I'm not sure the other co-organizers will. (It is bold.) It will be interesting to see how this plays out, but I will advocate strongly for it.

It is the font itself that I find bold. It is hard to describe without showing it, but some of the letters (especially one of the capital e's) strike me as quite aggressive. The color scheme is not too bold, as it was designed specifically to blend with my university's website. (That's not the only place it will be featured, of course, but nonetheless, it's important to take the aesthetics of the hosting website into account.)

If I had been charged with the graphic design--and of course there's a good reason I wasn't--the logo probably would have been pink!
