so my bathroom sink has not had soap in its dispenser for about a week. during that week i have made disgusted/entreating/whining/angry comments to the four walls about my sink not having any soap.

so this evening i go to wash my hands and hallelujah, there was soap! i am happy.

Straight forward. Most boards are part-time, non-executive professionals from other businesses who provide broader expertise to the CEO.

When an "executive" is added to the Chairman's title, that means actively involved in running the company. When that happens, it usually cuts the feet out from under the CEO, who is usually the top executive running the company.

It usually means that A, the founder of the company is taking a step back and letting someone else run the day to day, but isn't ready to step back to 8 meetings a year. or B, the CEO is working something specific and needs to focus there, or C. The board is pissed at the CEO, it would cost a boatload to fire him, so they put someone over him and hope he quits or they can find cause to avoid the payout. A usually works pretty well, and the CEO operates the company almost as a COO and the ECOB runs strategy or special initiatives....B can work if there is a time of specific focus, and C is heading for disaster with people taking sides, rumor, inuendo etc.

And yes, its always about the money.

The problem here is all your scenarios involved removing the CEO. I do not disagree with your assessments and this is why I'm trying to figure out how the ECOB got the boot. The closest you came to a relevant scenario is your first one but it has nothing to do with what happened.

Best mobile chat app is we-chat. It's a Chinese application, but it seems like they got their shit together for once.  It's REALLY good. I recommend that you guys try it.

The mechanism is a simple vote of the board. Why? It will probably come out eventually, but could be anything. The CEO might have threatened to leave. The Board may have wanted to implement something that GZ was blocking. Or, he could have just been a PITA. If it came down to keeping the CEO or GZ, the board would have looked at the ages and the probable future contributions and opt for the one with the greater upside.
